Terms of Service
These terms govern your purchase of our products and your use of this website. Please read them before you buy.
Your use of our software itself is governed by the End User Licence Agreement for that product, which you accept the first time you run it.
How our documents fit together: the EULA governs your use of the software; these terms govern your purchase; our privacy policy explains how we handle personal data and is a notice rather than a contract term. Where the EULA and these terms conflict about your use of the software, the EULA prevails; about your purchase, these terms prevail.
1. Who we are

2. What we sell
We sell licences to use our software, and credits that entitle you to submit to HMRC using it.
In these terms, Consumer means an individual buying wholly or mainly outside a business, trade, craft or profession, and Business User means anyone buying wholly or mainly for the purposes of a business, trade, craft or profession, including an accountant, bookkeeper or tax agent buying to file for clients. These are the same meanings used in our End User Licence Agreements.
ABC Digital Tax is sold by the credit. A credit entitles submission for one taxpayer, identified by National Insurance number, for one tax year, and covers all submissions for that taxpayer and tax year. The first tax year submitted for a given National Insurance number may be free of charge; free entitlement is available once per taxpayer per tax year across ABC Digital Tax as a whole, whoever makes the submission.
Business Users may hold an organisation account for ABC Digital Tax. Credits bought under it are held at account level and may be used by any licence key issued under that account.
ABC SA100 is sold as a licence per return, identified by Unique Taxpayer Reference. It does not use credits, organisation accounts or free entitlement.
3. How a contract is formed
3.1 Your order is an offer to buy. We accept it when we send you an order confirmation, and a contract is formed at that point.
3.2 We may refuse an order. If we do, we will tell you and refund any payment taken.
3.3 You must give us accurate purchase and account information, and keep it up to date so we can complete your transaction and contact you.
3.4 By placing an order you confirm you are at least 18 and legally able to enter into a contract.
4. Price and payment
4.1 Prices are shown on our website and include VAT at the applicable rate unless stated otherwise.
4.2 Prices may change, but a change will not affect an order we have already accepted.
4.3 Payment is taken at the time of purchase by our payment provider. We do not receive or store your card details.
4.4 If we discover an error in the price of something you have ordered, we will contact you and give you the option to continue at the correct price or cancel. If we cannot reach you, we will treat the order as cancelled and refund you.
5. Delivery
We supply software by download and licence keys and credits electronically, normally immediately after your order is confirmed. If there is a delay we will tell you.
6. Your right to cancel — Consumers
This section applies if you are a Consumer.
6.1 Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 you normally have 14 days from the date of the contract to cancel a purchase of digital content and receive a refund.
6.2 You lose that right once we begin supplying the digital content, if you have asked us to start immediately and acknowledged that you will lose the right to cancel. We ask you to give that consent and acknowledgement at checkout. If you do not give it, supply will not begin until the 14 days have passed, or until you tell us to start.
6.3 If you have not yet used a credit and the 14 days have not passed, we will refund you in full.
6.4 To cancel, tell us clearly — by email, through our contact form, or using the withdrawal request form. We will refund you within 14 days of being told, using the same payment method you used.
6.5 Nothing in these terms affects your statutory rights. If our software is faulty, not as described, or not fit for purpose, you have rights under the Consumer Rights Act 2015 to a repair, a replacement, a price reduction or a refund, depending on the circumstances. Advice is available from Citizens Advice.
7. Cancellation and refunds — Business Users
If you are a Business User, the statutory cancellation right in section 6 does not apply. Unused credits and unused ABC SA100 licences may be refunded at our discretion within 14 days of purchase. Credits and licences that have been used are not refundable.
8. Credits (ABC Digital Tax)
8.1 Credits are consumed only when a submission to HMRC succeeds. A failed submission does not consume a credit.
8.2 Credits have no cash value and are not transferable between customers.
8.3 Credits do not expire.
8.4 If we end your contract or licence for any reason other than your breach, we will refund credits you have bought and not used, and any ABC SA100 licence you have bought and not used.
9. Using this website
9.1 You may use this website for lawful purposes only. You must not use it to transmit malicious code, to interfere with its security, to scrape or harvest data, or to harass or defame anyone.
9.2 The content of this website belongs to us or our licensors. You may read and print it for your own use; you may not otherwise reproduce, sell or republish it without our written permission.
9.3 Information on this website is provided for general information. We try to keep it accurate and current, but we do not guarantee that it is, and it is not tax advice. Where information is historical, it is provided for reference.
9.4 We may correct errors in descriptions, prices or availability at any time, including after you have ordered — see clause 4.4.
9.5 Our website may link to third-party sites. We do not control them and are not responsible for their content or practices.
9.6 If you send us feedback, suggestions or ideas, we may use them without restriction and without paying you. This does not apply to information you send us in confidence, or to any tax data included in a support enquiry or error report — we use that only to help you and to fix faults.
10. Our liability
10.1 Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded — including, if you are a Consumer, your rights under the Consumer Rights Act 2015.
10.2 Subject to clause 10.1, we are not liable for loss of profit, loss of business, loss of goodwill, loss of anticipated savings, or any indirect or consequential loss.
10.3 Subject to clause 10.1, we are not liable for indirect loss or corruption of data. This does not affect your right as a Consumer to a remedy under section 46 of the Consumer Rights Act 2015 where digital content damages your device or other digital content.
10.4 Subject to clause 10.1, if you are a Consumer our total liability under these terms is limited to the greater of the amount you paid us in the twelve months before the claim arose and one hundred pounds sterling (£100).
10.5 Subject to clause 10.1, if you are a Business User our total liability for all claims arising in any twelve-month period is limited in aggregate to the greater of the amount you paid us in that period and five hundred pounds sterling (£500).
10.6 We are not liable for any penalty, interest, surcharge or other charge imposed on you by HMRC, except to the extent it is caused by our breach or, if you are a Consumer, by a breach of your rights under the Consumer Rights Act 2015. You remain responsible for the accuracy and timeliness of everything you submit.
10.7 Subject to clause 10.1, we are not liable for the availability or behaviour of HMRC’s systems or of any other third-party service.
10.8 Each of the limitations in clauses 10.2 to 10.7 is separate and independent. If any is found unenforceable, the others continue to apply, and the unenforceable limitation is to be treated as replaced by the narrowest limitation of the same kind that would be enforceable.
11. Ending the contract
11.1 Either of us may end this agreement. You may do so by telling us you no longer wish to use our services, or by ceasing to use our website.
11.2 We may end it, or suspend your access, if you materially breach these terms or the applicable EULA. We will tell you why and you may ask us to review the decision.
11.3 Ending the agreement does not affect rights and liabilities that have already accrued, or clause 8.4.
12. Complaints
Please contact us using the details in section 1. We aim to acknowledge complaints within 5 working days and to resolve them within 20 working days. If we cannot resolve your complaint and you are a consumer, you may be able to use an alternative dispute resolution provider or the Online Dispute Resolution platform.
13. General
13.1 We may update these terms. The version and date at the top show when. Changes do not apply retrospectively to orders we have already accepted, and where a change materially affects you we will tell you.
13.2 If any provision is unenforceable, the rest continues in force.
13.3 A delay in enforcing a term is not a waiver of it.
13.4 You may not transfer your rights under these terms without our consent. We may transfer ours to a successor to our business, provided this does not reduce your rights.
13.5 Nobody other than you and us may enforce these terms.
13.6 These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. If you are a consumer resident elsewhere in the United Kingdom, you may also bring proceedings in your local courts.
